THIS AGREEMENT IS BETWEEN YOU AND ANY OTHER INDIVIDUAL OR ENTITY ON WHOSE BEHALF YOU ACCEPT THESE TERMS (Collectively “You” Or “User”) AND RCM WORKS, ITS AFFILIATES AND SUBSIDIARIES (Collectively “RCM Works”):
RCM Works Operates The RCM Works Web Properties, Which Include But Are Not Limited To Rcmworks.Com And Code.Rcmworks.Com. These Internet-Based Online Information And Communication Services Are Accessible To Users Worldwide. Participation On These Sites Is Entirely Voluntary, And Users Contribute Information, Whether Personal Or Otherwise, At Their Own Discretion. Users Have The Freedom To Discontinue Their Participation Whenever They Choose. RCM Works Places A High Value On The Privacy Of Its Users And Adheres To Its Privacy Policy Concerning Any Information Posted Or Submitted To The RCM Works Web Sites.
1. Restrictions on Use.
By accessing and using the RCM Works Web Sites, you are agreeing to abide by the terms, conditions, and notices outlined in this Agreement without any modifications. Your use of these sites signifies your acceptance and understanding of all the specified terms and conditions, as presented in this Agreement and its associated links. If you do not agree to these terms, you are not authorized to access or use the RCM Works Web Sites.
2. Modification of These Terms of Use.
RCM Works reserves the right to make changes to the Terms of Use and Privacy Policy at any time, without prior notice to users. It is your responsibility to periodically review these documents. Once posted, the updated Terms of Use and Privacy Policy will become effective immediately. By continuing to use the RCM Works Web Sites, you are indicating your acceptance of any modifications to the Terms of Use and Privacy Policy.
3. Personal and Non-commercial Use Limitation.
The RCM Works Web Sites are primarily intended for two purposes: business use related to your association with RCM Works and personal/non-commercial use. Unless explicitly permitted by RCM Works, you are prohibited from modifying, copying, distributing, transmitting, displaying, performing, reproducing, publishing, licensing, creating derivative works from, transferring, or selling any information, software, solutions/products, or services obtained from the RCM Works Web Sites. However, subject to any additional applicable terms, you are allowed to download information, software, solutions/products, or services from the RCM Works Web Sites solely for business use in connection with your relationship with RCM Works, as well as for personal and other non-commercial purposes, on the condition that you maintain all copyright and proprietary notices intact.
4. Links to Third Party Sites/Business Relationships.
RCM Works does not make any representations regarding other websites that you may access through the RCM Works Web Sites. When you visit a non-RCM Works Web Site, even if it displays the RCM Works logo or other trademarks, service marks, or trade names, please note that it operates independently from RCM Works, and RCM Works has no control over its content. The RCM Works Web Sites may also contain links to other websites (“Linked Sites”), which are not under RCM Works’ control. RCM Works disclaims any responsibility for the content of any Linked Site, including any links within it or any changes or updates made to it. Additionally, RCM Works is not liable for any transmissions received from Linked Sites.
RCM Works does not provide any warranties or representations regarding the accuracy, currency, or completeness of information found on Linked Sites and shall not be liable for any damages or injuries arising from such content or information. The inclusion of these links is purely for your convenience, and RCM Works does not endorse the linked site or any association with its operators. You are responsible for taking precautions to ensure that any content you access from Linked Sites is free from viruses, worms, trojan horses, or other destructive elements. To the fullest extent permitted by law, RCM Works, its officers, directors, employees, agents, and suppliers shall not be liable for any direct, indirect, punitive, incidental, special, or consequential damages resulting from your use of Linked Sites, including but not limited to lost profits, business interruption, or loss of data or information, even if expressly advised of the possibility of such damages.
5. Unlawful or Prohibited Use..
By using the RCM Works Web Sites, you agree not to engage in any unlawful or prohibited activities that violate these terms, conditions, and notices. You shall not utilize the RCM Works Web Sites in any way that could cause damage, disable, overload, or hinder the proper functioning of the sites, or disrupt the use of the sites by others. Furthermore, you are not permitted to access or try to obtain materials or information through any unauthorized means that are not made available or provided to you through the RCM Works Web Sites
6. Use of Communication Services.
The RCM Works Web Sites offer various Communication Services, including bulletin board services, chat areas, blogs, forums, and more. These services enable you to communicate and share information with the public or specific groups. To use these Communication Services, you must adhere to certain guidelines. Specifically, you agree not to engage in the following actions:
- Defaming, harassing, threatening, or infringing on the legal rights of others.
- Posting inappropriate, defamatory, offensive, illegal, or discriminatory content
- Intentionally providing inaccurate information or expressing opinions not genuinely held by you.
- Uploading files that violate intellectual property laws or contain malicious software.
- Sharing others’ confidential or personal information without their consent
- Advertising or offering to sell or buy goods or services for any unlawful purpose.
- Conducting unauthorized surveys, contests, pyramid schemes, or chain letters.
- Downloading files that cannot be legally distributed
- Tampering with attributions or legal notices in uploaded files.
- Restricting or inhibiting other users from using the Communication Services.
- Violating any applicable code of conduct or guidelines for the Communication Services.
- Harvesting information about others without their consent.
RCM Works has the right to review, edit, or remove content posted in the Communication Services, including personal web pages and private or secret groups. While RCM Works is not obligated to do so, it reserves the discretion to restrict or terminate your access to any or all Communication Services without notice. RCM Works is not responsible for monitoring the Communication Services.
RCM Works may disclose information as required by law, regulation, legal process, or government request. Users should exercise caution when sharing personally identifying information in the Communication Services. RCM Works does not control or endorse the content found in any Communication Service and disclaims liability resulting from user participation. Uploaded materials in the Communication Services may have usage, reproduction, and dissemination limitations, and users are responsible for adhering to those restrictions.
RCM Works employs a “Notice and Takedown” mechanism to address abusive, defamatory, or prohibited content. Users can mark content as “report abuse,” which will be reviewed by moderators and subject to RCM Works Security, Human Resources, and Legal teams’ scrutiny. Inappropriate content will be removed at the discretion of the moderation process.
7. RCM Works’s Unsolicited Idea Submission Policy.
RCM Works and its employees do not accept nor consider unsolicited ideas, including ideas for new advertising campaigns, new promotions, new or improved solutions, products or technologies, solution or product enhancements, processes, marketing plans or new solution or product names. Please do not submit any unsolicited ideas, samples, demos or other works. The sole purpose of this policy is to avoid potential misunderstandings or disputes when RCM Works’s software, solutions, products and/or services, or marketing strategies, might seem similar to ideas submitted to RCM Works. If, despite our request that you not send us your ideas, you still submit them, then regardless of what message accompanies the submission, the following terms shall apply to your submissions.
You agree that: (1) your submissions and their contents will automatically become both the legal and equitable property of RCM Works, without any compensation to you; (2) RCM Works may use or redistribute the submissions and their contents for any purpose and in any way without limitation; (3) there is no obligation for RCM Works to review the submission; (4) there is no obligation to keep any submissions confidential; and (5) you hereby agree to waive absolutely any and all moral rights arising from your submissions and their contents so far as is lawfully possible and any broadly equivalent rights you may have in respect of your submissions and their contents in any territory of the world.
8. Materials Provided to RCM Works or Posted on RCM Works Web sites.
RCM Works does not wish to receive any confidential or proprietary information from you through its RCM Works Web Sites, except for cases specifically covered by RCM Works’s Privacy Policy, and you agree not to provide such information. Any information or materials, whether sent by post, upload, input, or submission to the RCM Works Web Sites or their associated services (referred to as “Materials”), that are not covered by RCM Works’s Privacy Policy, will be considered non-confidential. RCM Works will have no obligations concerning such Materials or any underlying information.
By posting, uploading, inputting, providing, or submitting your Materials, subject to the limitations of RCM Works’s Privacy Policy, you grant all Users a royalty-free, irrevocable, perpetual, non-exclusive, unrestricted, worldwide license to use your submission (Materials) in connection with their businesses. This license includes the rights to copy, modify, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your submission (Materials), including incorporating any portion thereof into products or services offered by RCM Works to the public. Any Materials used in this way must be attributed in accordance with the author or licensor’s specifications, but not in any manner that suggests their endorsement of you or your use of their work. Additionally, you waive any moral rights related to the Materials to the fullest extent permitted by law and any broadly equivalent rights you may have in any territory of the world.
No compensation will be provided for the use of any Materials. RCM Works is not obliged to post or use any Materials you provide and may remove any Materials at its sole discretion. By posting, uploading, inputting, providing, or submitting your Materials, you warrant and represent that you own or have the necessary rights to your Materials, as described in this section, including all rights required to provide, post, upload, input, or submit the Materials. When accessing secure areas on the RCM Works Web Sites that require authentication, you are responsible for adhering to the additional terms and conditions of any agreements between RCM Works and you or your employer, client, or other associate, to the extent that such agreements apply to you.
9. Forward-Looking Statements.
The RCM Works Web Sites may include information that contains or is based on forward-looking statements within the meaning of the US Private Securities Litigation Reform Act of 1995. These statements express expectations or forecasts of future events. However, it is crucial to recognize that RCM Works’s actual performance, financial condition, or business may differ significantly from what is expressed in these forward-looking statements. 10. Communities and Groups.
Certain sections of the RCM Works Web Sites allow users to create, join, participate, and contribute to communities and collaborative groups. These groups should only be formed for the purpose of communicating, collaborating, or conducting business with RCM Works, RCM Works associates, and/or RCM Works clients. It is strictly prohibited to create groups for personal communication with non-RCM Works associates, internal collaboration within your personal business, or conducting business with entities other than RCM Works.
11. Software Available on the RCM Works Web Sites.
The RCM Works Web Sites offer certain Software for download, which is the copyrighted work of RCM Works and/or its suppliers. Your use of the Software is governed by the terms specified in the accompanying License Agreement. Before installing or using any Software that includes a License Agreement, you must agree to the terms outlined in the License Agreement.
For Software that does not come with a License Agreement, RCM Works grants you a personal, non-transferable license to use the Software solely for viewing and using the RCM Works Web Sites in accordance with this Agreement, and for no other purpose. You must maintain all copyright and proprietary notices intact. No other license is granted, and you are not allowed to modify, alter, decompile, reverse engineer, or make any changes to the Software, except as permitted by applicable law without the possibility of contractual waiver. All Software is protected by copyright laws and international treaty provisions. Any unauthorized reproduction or redistribution of the Software is strictly prohibited by law and may result in severe civil and criminal penalties. Violators will be prosecuted to the fullest extent possible. Copying or reproducing the Software to any other server or location for further distribution is expressly prohibited.
The Software is warranted, if at all, only according to the terms of the License Agreement. You acknowledge that the Software, along with its accompanying documentation and technical information, is subject to applicable export control laws and regulations of the U.S. As such, you agree not to export or re-export the Software, directly or indirectly, to any countries that are subject to U.S. export restrictions.
12. Liability Disclaimer.
The RCM Works Web Sites may provide information intended to educate consumers on wellness, disease management, and emerging healthcare issues. However, none of the information presented on these sites should be considered as medical advice or instruction for diagnosis or treatment. The information should not be relied upon to suggest a course of treatment for any individual.
It is essential to consult with your physician or qualified healthcare provider for personalized advice on any healthcare-related questions. To the fullest extent permitted by law, RCM Works, its officers, directors, employees, agents, and suppliers shall not be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising from the use or performance of the RCM Works Web Sites or related services. This includes damages for loss of use, data, or profits, or any information, software, products, services, and related graphics obtained through the RCM Works Web Sites, whether based on contract, tort, negligence, strict liability, or otherwise. Your sole remedy if dissatisfied with any portion of the RCM Works Web Sites or these terms of use is to discontinue using the sites.
Notwithstanding the above, the total liability of RCM Works, its officers, directors, employees, agents, information providers, and suppliers, if any, for losses or damages shall not exceed the fees paid by the user for the particular information or service provided.
In certain jurisdictions, the disclaimer or exclusion of certain warranties or limitations of liability may not apply. In such cases, these terms shall be interpreted to the extent legally valid, and all other terms shall remain in full force and effect.
13. Copyright and Trademark Notices.
All content on the RCM Works Web Sites, including software and documentation, is the copyrighted property of RCM Works Corporation. All rights are reserved. The material on these sites represents significant creative efforts by RCM Works and may not be reproduced, transmitted, or stored in any form or retrieval system without the explicit written permission of RCM Works. Unauthorized use or misuse of the trademarks, service marks, trade names, copyrights, or any other materials (collectively referred to as “Intellectual Property”) found on the RCM Works Web Sites is strictly prohibited and may violate copyright law, trademark law, slander and libel laws, privacy and publicity laws, communications regulations, and other applicable laws and regulations.
14. Notices and Procedures for Making Claims of Copyright Infringement.
RCM Works complies with the Digital Millennium Copyright Act of 1998 (DMCA), which provides guidelines for addressing copyright infringement. RCM Works will respond expeditiously to valid claims of copyright infringement and may take appropriate action, including terminating the user account of repeat infringers. If you believe a RCM Works Web Site user is a repeat infringer, please follow the instructions provided above to contact RCM Works’s designated agent and provide sufficient information for verification.
15. User Representations.
By using the RCM Works Web Sites, you affirm that you are at least 18 years old and have the legal authority to enter into this Agreement and use the sites accordingly. You agree to take financial responsibility for your activities on the RCM Works Web Sites and to adhere to all the responsibilities and obligations outlined in this Agreement.
16. Indemnification.
You agree to indemnify, defend, and hold harmless RCM Works, its officers, directors, employees, agents, information providers, and suppliers from any and all claims, liabilities, losses, expenses, damages, and costs, including reasonable attorneys’ fees, arising from any violation of this Agreement or any activity related to your use of the RCM Works Web Sites or any account you may have. This includes claims related to the infringement of third parties’ intellectual property rights, misappropriation of trade secrets, or other proprietary rights, as well as claims arising from negligent or wrongful conduct.
17. Waiver, Release and Limitation of Liability.
By using the RCM Works Web Sites, you are hereby releasing and waiving any and all claims against RCM Works, its officers, directors, employees, agents, information providers, or suppliers for any losses or damages you may sustain in connection with your use of the sites. However, this release and waiver will not apply to claims arising from gross negligence or willful misconduct by RCM Works or any other claims in respect of liability that cannot be lawfully excluded or limited.
18. Term & Termination.
You or RCM Works have the right to terminate your access to the RCM Works Web Sites at any time, with or without cause, upon notice. RCM Works may also withdraw, suspend, or discontinue any functionality or feature of the RCM Works Web Sites. However, if your agreement with RCM Works includes continued use of certain functionalities or features, RCM Works will provide those features as per the terms of that agreement. The provisions related to Copyrights, Indemnification, Waiver, Release, Limitation of Liability, and General will remain in effect even after the termination of this Agreement.
19. General.
This Agreement is governed by the laws of the United States federal law or the State of Illinois. By using the RCM Works Web Sites, you consent to the exclusive jurisdiction and venue of courts in Skokie, Illinois, U.S.A. for any disputes arising from or related to the use of the sites. Access to the RCM Works Web Sites is unauthorized in any jurisdiction that does not fully enforce all provisions of this Agreement, including this paragraph. Any cause of action or claim against RCM Works must be filed within six (6) months after the claim or cause of action arises. RCM Works’s failure to enforce any provision of this Agreement does not waive their right to enforce it in the future. The relationship between you and RCM Works is not a joint venture, partnership, employment, or agency relationship resulting from this Agreement or the use of the RCM Works Web Sites. RCM Works is subject to existing laws and legal processes, and this Agreement does not diminish their right to comply with governmental, court, and law enforcement requests or requirements regarding your use of the RCM Works Web Sites or the information gathered. If any part of this Agreement is deemed invalid or unenforceable under applicable law, the invalid or unenforceable provision will be replaced with a valid, enforceable provision that closely matches the original intent, and the remainder of the Agreement will remain in effect.
20. Notice.
Under this Agreement, RCM Works may provide notice to you through electronic mail, a general notice on the RCM Works Web Sites, or a written communication sent by first-class U.S. mail to the address on record in RCM Works’s account information. You can give notice to RCM Works at any time by sending an electronic mail to rcmworks.marketing@gmail.com.
21. Legal.
The information presented on the RCM Works Web Sites is subject to change or update without prior notice. RCM Works reserves the right to make improvements or alterations to the solutions and services described on the RCM Works Web Sites at any time without notice. In case of any discrepancy between the terms of this Agreement and the terms and conditions of a mutually executed agreement between RCM Works and the User, the terms of the mutually executed agreement between RCM Works and the User shall take precedence.
22. Global Availability.
RCM Works does not make any representations regarding the appropriateness or availability of the information on the RCM Works Web Sites in locations where their content is considered illegal or prohibited. Accessing the RCM Works Web Sites from such territories is at the user’s own risk, and they are responsible for complying with relevant local laws. The information published by RCM Works on the World Wide Web may contain references or cross-references to solutions, programs, and services that are not yet announced or available in your country. Such references do not indicate that RCM Works intends to announce or make these solutions, programs, or services available in your country.
